Terms of service
Effective May 16, 2026
1. Acceptance of terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Inting Technologies Inc. ("Inting Technologies," "we," "us," or "our"), governing your access to and use of our website and the development services we provide.
By using our website, submitting an inquiry, or entering into a project engagement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or engage our services.
These Terms apply to the general use of our website. Specific project engagements are governed by a separate written Statement of Work or Service Agreement ("Agreement") executed between you and Inting Technologies. In the event of any conflict, the terms of the signed Agreement prevail.
2. Services
Inting Technologies provides custom software development services, including but not limited to:
- Design and development of web and mobile applications
- Software architecture and system design
- Technical consulting and product strategy
- Third-party systems integration and workflow automation
- Ongoing software maintenance and technical support
The specific scope, deliverables, timeline, and pricing for any engagement are defined in a written Agreement. We reserve the right to decline any project at our sole discretion.
We do not guarantee any specific business outcome as a result of our services. Our obligation is to deliver the work defined in the agreed scope to a professional standard.
3. Project engagements
All project work is initiated by a mutually signed Agreement that sets out the scope, timeline, milestones, and compensation. No work will begin until an Agreement is fully executed and any required deposit is received.
Scope changes. Any changes to the agreed scope of work must be documented in a written change order signed by both parties. Additional work requested outside the original scope will be quoted and billed separately. We are not obligated to perform out-of-scope work until a change order is agreed upon.
Timeline. Estimated timelines are provided in good faith and are contingent on timely receipt of client materials, feedback, and approvals. Delays caused by the Client, including delayed feedback, unavailability of key stakeholders, or late delivery of required assets, may extend the project timeline without constituting a breach by Inting Technologies.
Acceptance. Unless otherwise specified in the Agreement, deliverables are deemed accepted if no written objection is received within five (5) business days of delivery. Acceptance triggers any applicable payment milestone.
4. Fees and payment
Fees for our services are set out in the applicable Agreement and may be structured as a fixed project fee, hourly rate, or retainer, depending on the nature of the engagement.
Invoicing. Invoices are issued in accordance with the payment schedule in the Agreement. Invoices are payable within fifteen (15) days of the invoice date unless otherwise agreed in writing.
Late payment. Payments not received by the due date may accrue interest at a rate of 1.5% per month (or the maximum rate permitted by law, if lower) from the due date until paid in full. We reserve the right to suspend work on any project with outstanding overdue invoices after providing written notice.
Expenses. Unless the Agreement states otherwise, any third-party costs incurred on behalf of the Client (such as hosting fees, licensed assets, or API subscriptions) will be passed through at cost and invoiced separately.
Taxes. All fees are exclusive of applicable taxes. The Client is responsible for any sales, use, VAT, or similar taxes arising from the services, except for taxes based on Inting Technologies' net income.
5. Intellectual property
Client materials. You retain all rights to materials, data, and content you provide to us. You grant Inting Technologies a non-exclusive license to use such materials solely to perform the agreed services.
Deliverables. Upon receipt of full payment for a project, Inting Technologies assigns to you all rights, title, and interest in the custom deliverables created specifically for your project, including source code produced solely for your engagement, unless the Agreement states otherwise.
Pre-existing work and general tools. Inting Technologies retains ownership of all pre-existing intellectual property, general methodologies, frameworks, tools, libraries, and know-how developed independently of your project ("Background IP"). To the extent any Background IP is incorporated into your deliverables, Inting Technologies grants you a non-exclusive, perpetual, royalty-free license to use that Background IP as integrated within your deliverables.
Open source. Some deliverables may incorporate open-source software components. Such components remain subject to their respective open-source licenses, which we will identify upon request.
Portfolio use. Unless you request otherwise in writing, Inting Technologies reserves the right to reference your project in our portfolio and marketing materials in a general, non-confidential manner.
6. Confidentiality
Each party may disclose confidential information to the other in connection with a project engagement. "Confidential Information" means any non-public business, technical, financial, or strategic information disclosed by one party to the other that is marked as confidential or that a reasonable person would understand to be confidential given the context.
Each party agrees to: (i) hold the other's Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information, but no less than reasonable care; (ii) not disclose Confidential Information to any third party without prior written consent; and (iii) use Confidential Information only to fulfill obligations under the Agreement.
These obligations do not apply to information that: is or becomes publicly available through no fault of the receiving party; was already known to the receiving party without restriction; is received from a third party without restriction; or is required to be disclosed by law or court order, provided reasonable prior notice is given.
Confidentiality obligations survive the termination of any engagement for a period of three (3) years.
7. Client responsibilities
Successful project delivery depends on your active participation. You agree to:
- Provide accurate and complete project requirements, materials, and information in a timely manner
- Designate a primary point of contact with authority to provide approvals and decisions
- Review and provide feedback on deliverables within the timeframes specified in the Agreement
- Ensure that any content, data, or materials you provide do not infringe any third-party rights and comply with applicable laws
- Obtain any third-party licenses, permissions, or consents required for us to work with your systems or data
You acknowledge that failure to fulfill these responsibilities may delay delivery and that such delays are not attributable to Inting Technologies.
8. Warranties and disclaimers
Inting Technologies warrants that: (i) it will perform services in a professional and workmanlike manner consistent with industry standards; (ii) it has the authority to enter into these Terms and any Agreement; and (iii) to our knowledge, deliverables will not infringe any third-party intellectual property rights.
Disclaimer. Except as expressly stated above, all services and deliverables are provided "as is" and "as available." Inting Technologies makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that software will be error-free, that defects will be corrected, or that any specific features or performance benchmarks will be achieved unless explicitly warranted in the Agreement. All software involves inherent complexity; acceptance of deliverables by the Client constitutes acknowledgment of this.
9. Limitation of liability
To the maximum extent permitted by applicable law, Inting Technologies' total cumulative liability to you arising out of or related to any engagement, whether based on contract, tort, negligence, strict liability, or any other theory, shall not exceed the total fees paid by you to Inting Technologies in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall Inting Technologies be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages, including loss of revenue, loss of profits, loss of business, loss of data, or business interruption, even if Inting Technologies has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Inting Technologies and its principals, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) your breach of these Terms or any Agreement; (ii) your use of deliverables in violation of applicable law; (iii) your infringement of any third-party rights; or (iv) any content or data you provide to us in connection with your project.
11. Term and termination
These Terms remain in effect for as long as you use our website or have an active engagement with us.
Termination for convenience. Either party may terminate an ongoing engagement by providing written notice as specified in the applicable Agreement. Upon termination, you are responsible for payment of all fees for work completed up to the effective termination date, plus any non-cancellable expenses already incurred on your behalf.
Termination for cause. Either party may terminate immediately upon written notice if the other party materially breaches these Terms or the Agreement and fails to cure such breach within ten (10) business days of written notice specifying the breach.
Effect of termination. Sections relating to intellectual property, confidentiality, payment, limitation of liability, indemnification, and governing law survive termination. Upon termination, each party will promptly return or destroy the other's Confidential Information upon request.
12. Governing law
These Terms and any dispute arising out of or related to them or our services shall be governed by and construed in accordance with applicable law. Any legal proceedings shall be brought in the courts of competent jurisdiction, and both parties consent to such jurisdiction and venue.
The parties agree to attempt to resolve any dispute informally for at least thirty (30) days before initiating formal proceedings. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction.
13. Changes to terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. For active engagements, material changes to these Terms will not take effect until the current Agreement expires or is renewed, unless required by law.
Continued use of our website following any update constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
